General Terms and Conditions Blue Health Intelligence

These General Terms and Conditions have been drawn up in the Dutch language. The translations below are provided for convenience only. In the event of any conflict, ambiguity, or difference in interpretation between the Dutch version and any translated version, the Dutch version shall be decisive and prevail

Article 1 – Definitions

Blue Health Intelligence: The consumer name of the private limited liability company Tiuri Health B.V., registered with the Chamber of Commerce under number 98047213, established in Amsterdam at Linnaeushof 81-H, which is the user of these General Terms and Conditions.

Member: The natural person who, pursuant to the Agreement, purchases Services from Blue Health Intelligence.

Parties:
The Member and Blue Health Intelligence jointly.

Services: The performance of preventive health check-ups and examinations, including blood tests, biomarkers, body measurements, disease risk analysis, and access to the Blue Health Intelligence app for personal insights and guidance. For the execution hereof, a medical treatment agreement as referred to in Article 7:465 of the Dutch Civil Code (BW) shall be concluded between the Member and Blue Health Intelligence.

General Terms and Conditions: These present General Terms and Conditions of Blue Health Intelligence.

Agreement: The treatment agreement pursuant to which Blue Health Intelligence undertakes, vis-à-vis the Member, to perform acts in the field of medical practice, directly relating to that Member. This treatment agreement is concluded in accordance with Article 7:446 of the Dutch Civil Code (BW).

Anamnesis: A health questionnaire administered by Blue Health Intelligence to the Member by means of a form.

Account: The personal profile that the Member creates or receives in order to gain access to the Services and the Application of Blue Health Intelligence. The Account is strictly personal and non-transferable.

Application: The mobile application and/or web environment of Blue Health Intelligence through which the Member gains access to reports, biomarker insights, advice, and other digital functionalities offered by Blue Health Intelligence.

Invitation Codes:A code or codes that may be used to book an appointment for the performance of Services and/or to obtain a discount on Services.

Article 2 – Applicability

2.1 These General Terms and Conditions apply to all Agreements between Blue Health Intelligence and the Member.

2.2 Deviations from these General Terms and Conditions apply only if agreed in writing and exclusively for the relevant Agreement.

2.3 If provisions of these General Terms and Conditions are void or are annulled, the remaining provisions shall remain valid. In such case, the Parties shall consult with each other to agree on a replacement provision.

2.4 Where “in writing” is stated, this also includes communication by digital means.

Article 3 – Formation and amendment of the Agreement

3.1 The Agreement is concluded as soon as the Member books a check-up via the website or app, makes payment, and has accepted the General Terms and Conditions.

3.2 Written agreements, including the completed anamnesis and consent declaration, form an integral part of the Agreement and replace earlier agreements.

3.3 Oral commitments by employees of Blue Health Intelligence bind Blue Health Intelligence only if confirmed in writing by an authorized representative.

3.4 Amendments to or additions to the Agreement are valid only if confirmed in writing by Blue Health Intelligence.

3.5 Blue Health Intelligence may refuse the Member on the basis of well-founded reasons, for example medical contraindications. In such case, Blue Health Intelligence shall provide full reimbursement of the amount already paid.

Article 4 – Prices and rates

4.1 The price for a preventive health examination is stated on the website www.bluehealth.co and may be adjusted from time to time. If payment has already been made, the price can no longer be adjusted.

4.2 Free access to the app after a preventive health examination represents a value per month and is provided free of charge for a period of 13 months. The value is stated on bluehealth.co/membership.

4.3 If the Member has booked and paid for a preventive health examination within 13 months of the previous preventive health examination, the free access is extended for 13 months.

4.4 If, after the first preventive health examination, the Member has not booked and paid for a follow-up examination within 13 months, he is given the option to take out a monthly subscription in order to retain access to the app. Your information can always be requested by email up to 20 years after the examination has been conducted.

4.5 The subscription is automatically renewed each time for one month. Cancellation by the Member may take place at any time, subject to a notice period of one calendar month. By way of example: a cancellation received in the month of November therefore becomes effective as of 1 January.

Article 5 – Invoicing and payment

5.1 The Member shall pay the amount for the preventive health examination prior to the appointment, simultaneously with the online booking.

5.2 The Member is fully responsible for any reimbursement claim submitted to his/her health insurer or employer. Blue Health Intelligence provides no guarantee whatsoever with regard to reimbursements.

5.3 If the Member fails to pay or does not pay on time, Blue Health Intelligence shall in principle not carry out the preventive health examination. In the event of a chargeback after the preventive health examination, statutory interest and collection costs may be charged.

5.4 Payments are first allocated to costs and interest due and thereafter to the outstanding invoice amount.

5.5 If Blue Health Intelligence suspects that the Member will not fulfill his/her obligations, it may require security in advance (e.g. a guarantee).

5.6 The payment service is provided by Adyen N.V. Adyen’s privacy policy can be found via: https://www.adyen.com/nl_NL/legal/privacy-policy. The available payment options are shown at the moment the Member connects to the payment service.

5.7 We do not charge any fees for payments via the payment service. However, depending on the payment option chosen by the Member, additional costs may apply, as stated in the terms and conditions applicable to the relevant payment option.

Article 6 – Performance of the Agreement

6.1 Blue Health Intelligence strives to provide the results of the preventive health examination during the visit. All stated time periods are indicative and not fatal.

6.2 Blue Health Intelligence can only perform the Services after the Agreement has been concluded and the necessary information and consent declaration have been provided by the Member and payment has been received.

6.3 The Member is solely responsible for the accuracy and completeness of all information provided.

6.4 Blue Health Intelligence may outsource the performance of the Services in whole or in part to third parties, but remains ultimately responsible.

Article 7 – Complaints and disputes

7.1 Blue Health Intelligence has a complaints and disputes procedure, with which it ensures effective and accessible handling and settlement of complaints. This complaints and disputes procedure complies with the requirements set by the Dutch Healthcare Quality, Complaints and Disputes Act (Wkkgz).

7.2 Information in this regard, including the complaints procedure and dispute resolution body, can be found on the website of Blue Health Intelligence.

Article 8 – Amendment and cancellation

8.1 If the Member purchases a Service from Blue Health Intelligence, the Member has the right to withdraw from the Agreement within 14 days after purchase without stating reasons, provided that he expressly requests this (“withdrawal period”, Article 6:230p Dutch Civil Code). By booking an appointment within 14 days after purchase, the Member expressly requests the commencement of the Services within the withdrawal period and acknowledges that the right of withdrawal expires once the Services have been fully performed.

8.2 To exercise your right of withdrawal, the Member may contact us via info@bluehealth.co. If desired, we offer the Member support in canceling your purchase.

8.3 An appointment may be changed or cancelled free of charge up to 72 hours before the scheduled time.

8.4 An appointment may be rescheduled free of charge a maximum of two times if done at least 72 hours in advance. A third change is considered a cancellation and results in cost settlement in accordance with paragraph 3.

8.5 If an appointment is rescheduled between 72 and 12 hours in advance, half of the amount will be charged.

8.6 If the Member arrives late for the booked appointment, it may, due to the limited duration of the reservation, only be possible to provide part of the Services, depending on the remaining time of the appointment.

8.7 In the event of a no-show, the Member owes the full amount; no refund will be made.

8.8 Exceptions are possible in the event of demonstrable force majeure (serious illness, accident, death in the immediate circle, or medical necessity confirmed by a physician).

8.9 Cancellations must be confirmed in writing or digitally.

8.10 If the Member terminates an examination prematurely for reasons attributable to him/her, no right to a refund or a new appointment exists.

Article 9 – Confidential data

9.1 The Parties are obliged to maintain confidentiality of all (medical) information obtained in the context of the Agreement. This also applies to all employees of Blue Health Intelligence.

9.2 Blue Health Intelligence processes (medical) personal data in accordance with the GDPR and its Privacy Statement (www.bluehealth.co/privacy).

9.3 If Blue Health Intelligence is legally obliged to provide data, it is not liable for any damage resulting therefrom.

9.4 Blue Health Intelligence may use anonymized case material for publications, presentations, general quality improvement, and innovations with automated systems, provided that the privacy of the Member remains safeguarded.

Article 10 – Intellectual property rights

10.1 Blue Health Intelligence, or third parties from whom we obtain rights, are and remain the owner of all rights to the Application. These rights include both registered and unregistered, existing and future intellectual property rights, including trademarks, patents, models, designs, software, copyrights, know-how, and other comparable intellectual property rights, whether or not registrable, related to the Application. No transfer of such rights takes place, and nothing in this Agreement shall be construed as a transfer of such rights to the Member.

10.2 Blue Health Intelligence generally reserves all intellectual property rights to which it is entitled under the law.

10.3 All documents, reports, advice, and software provided by Blue Health Intelligence are intended exclusively for use by the Member and may not be reproduced or shared without permission, except for sharing the data with healthcare professionals for the benefit of the Member’s health.

10.4 Blue Health Intelligence may use acquired knowledge for other purposes, provided that confidential information of the Member is not shared.

Article 11 – Liability of Blue Health Intelligence

11.1 Blue Health Intelligence is responsible for the performance of the Agreement in accordance with the law.

11.2 Blue Health Intelligence is not responsible for the care provided by third parties to whom referrals are made; such care providers enter into an agreement directly with the Member.

11.3 Blue Health Intelligence is only liable for direct damage resulting from intent or gross negligence.

11.4 Blue Health Intelligence is not liable for consequential damage, indirect damage, business damage, or loss of profit.

11.5 Disruptions in electronic services (internet, app, telecommunications) fall outside liability.

11.6 The Services are not intended to replace regular visits to healthcare providers or physicians for medical advice, diagnosis, or treatment, but should exclusively be regarded as supplementary thereto. Do not delay seeking medical advice because of the Services. In the event of urgent complaints or emergency situations, the Member must immediately contact the emergency department or another form of acute medical care.

11.7 Blue Health Intelligence is responsible for ensuring that all physicians involved with it possess the required qualifications and professional liability insurance, and that they are registered in the competent (inter)national BIG register or medical register with a valid authorization to practice their profession.

Article 12 – Use of Account and Application

12.1 The Member is responsible for all activities that take place through the use of the Account or as a result of his/her access to or use of the Application.

12.2 If the Member suspects that information relating to access to the Account has become known to a third party, the Member must immediately inform Blue Health Intelligence thereof.

12.3 A Member may at all times maintain only one Account.

12.4 It is not permitted to use the Application in a manner that may disrupt the functionality of the Application or cause damage to Blue Health Intelligence.

12.5 The Member is responsible for ensuring that the Account or the data contained therein is not used or permitted to be used for purposes that are contrary to applicable laws or regulations, or to ethical standards or guidelines.

12.6 Any use of the Application other than expressly permitted under this Agreement is prohibited and may also constitute a criminal offence and lead to liability for damages.

12.7 We strive to ensure that the Application is functional and available to the Member. The Member understands, however, that the Application and its functionalities may change from time to time and that Blue Health Intelligence provides no guarantee with regard to any specific functionality or availability.

Article 13 – Invitation Codes

13.1 Blue Health Intelligence may from time to time issue various types of “Invitation Codes.” An Invitation Code is a code that may be used to book an appointment for the performance of Services and/or to obtain a discount on Services. Depending on the type of Invitation Code, the Services may be offered free of charge or at a discount to the recipient of the Invitation Code. The number of times that bookings can be made using an Invitation Code may be limited.

13.2 An Invitation Code has no monetary value and cannot be redeemed for other Services or for any form of compensation.

13.3 It is not permitted to transfer an Invitation Code in exchange for payment.

13.4 Blue Health Intelligence reserves the right to withdraw or invalidate an Invitation Code at any time and without prior notice.

Article 14 – Force majeure

14.1 In the event of force majeure, Blue Health Intelligence may suspend the performance of its obligations until the situation has been resolved.

14.2 Force majeure includes, inter alia, network outages, disruptions at providers, or unforeseen circumstances beyond the control of Blue Health Intelligence.

Article 15 – Duration and termination

15.1 The Parties may terminate the Agreement with immediate effect in the event of:
a) bankruptcy, suspension of payments, or debt restructuring of the other Party;
b) death of the Member;
c) serious breach of contract as a result of which continuation cannot reasonably be required.

15.2 Termination does not give rise to a right to reimbursement of amounts already paid, unless otherwise agreed.

15.3 The Agreement is valid for as long as the Member has an Account, uses the Application, or has access to the Services.

15.4 The Member may cancel the Account at any time by contacting us via info@bluehealth.co

15.5 Blue Health Intelligence has the right to terminate the Agreement with immediate effect, including termination of the Account, in the event of a serious or repeated breach of the Agreement. This does not affect the right to request the patient file during the statutory retention period of 20 years.

15.6 You understand that the provision of your Account and the Application by Blue Health Intelligence does not entail an obligation to store information about the Member, other than insofar as this is necessary for the provision of the Services. After termination of your Account, the Member no longer has access to the Account and has access to his/her file only by email. Blue Health Intelligence is, however, legally obliged to retain certain data, as set out in our Privacy Policy.

15.7 Blue Health Intelligence may at any time decide to amend the Services or to cease offering them. Where possible, we will inform the Member thereof in writing in advance.

Article 16 – Changes to the Services and Terms

16.1 Blue Health Intelligence has the right to amend these General Terms and Conditions. We will notify the Member in writing of such amendments before they take effect.

16.2 By (continuing to) use the Application or retaining access to the Services after the amendment has taken effect, the Member is deemed to have accepted the amendment.

16.3 If the Member does not accept the amended General Terms and Conditions, the Member may no longer be able to use the Application or the Services.

Article 17 – Notices

17.1 Written notices from Blue Health Intelligence to the Member are sent by email or SMS to the contact details provided by the Member via the Account, or – in the case of changes to the Services or these General Terms and Conditions – via the Application.

17.2 Written communication from the Member to Blue Health Intelligence must be addressed to: info@bluehealth.co

Article 18 – Applicable law and competent court

18.1 All legal relationships with Blue Health Intelligence are exclusively governed by Dutch law.

18.2 Disputes shall be submitted to the competent court in Amsterdam.
